A company-registration delay is often caused by missing or inconsistent documents rather than by the filing itself. Foreign shareholders can reduce that risk by preparing a complete file before they travel, appoint a manager or submit documents to the CFE.
This checklist complements TCG’s How to Register a Company in Togo guide and our company formation service.
1. Identity documents for the shareholder and manager
The public company-creation procedure lists a passport for non-ECOWAS foreigners and additional residence documentation. The exact combination should be checked for the founder’s situation before filing. Copies should be clear, valid and consistent with the spelling used in the articles of association and all forms.
- Valid passport;
- Current residence or immigration document when required;
- Recent identity photograph where required;
- Marriage document when applicable to the filing;
- Contact details and residential address.
2. Non-conviction and management declarations
The incorporation file can require a declaration relating to the manager’s legal capacity and absence of relevant convictions. Investors should avoid preparing different name formats across declarations, passports and proposed company documents.
3. Proposed company names
Prepare more than one name in order of preference. A name that is commercially attractive may already be unavailable or too close to an existing business. The chosen name should also be consistent with the domain name and branding strategy where possible.
4. Corporate purpose and activity description
The corporate purpose should be broad enough to cover the intended business but precise enough to describe the real activity. Import-export, consulting, recruitment, trading, representation and regulated activities should not be mixed casually. Sector approvals can depend on the wording and the actual business model.
For trading projects, review the import-export setup guide.
5. Shareholding and management information
Prepare the shareholder percentage, proposed share capital, manager identity, signing authority and governance rules. If the shareholder is a company rather than an individual, expect additional corporate documents such as the certificate of incorporation, constitutional documents, board authorization and beneficial-owner information.
6. Beneficial ownership information
Togo has formal beneficial-ownership reporting requirements. Foreign investors should be ready to identify the individuals who ultimately own or control the company and provide evidence of identity, address and control where required.
7. Registered office evidence
A legally usable address must be documented. The investor should decide whether the project needs a domiciliation address or dedicated premises. A physical office may be necessary for staff, customers, storage or operational credibility even where a simpler address is legally sufficient.
8. Local plan and contact information
The public procedure includes a location plan. Prepare the address consistently across the company file, banking file, tax records and future invoices.
9. Banking and source-of-funds documents
Bank KYC is a separate process from company incorporation. A bank may request source-of-funds evidence, business profile, expected turnover, contracts, shareholder information and proof of address. Preparing these at the same time avoids a second document chase after incorporation.
See our corporate banking guide.
10. Sector-specific documents
Incorporation documents are not the same as operational licences. Import-export, customs, agricultural trading and other regulated activities can require separate files after the company exists.
Before submitting: perform a consistency check
- Names match the passport exactly;
- Addresses are consistent;
- The company name is written identically everywhere;
- Shareholding totals 100%;
- Management authority is clear;
- Corporate purpose matches the intended activities;
- Documents are still valid;
- Required translations, certifications or legalizations are ready.
A clean document file can make the incorporation visit shorter and simplify the next steps: bank account, licences and operating setup.

Frequently asked questions
Should foreign documents be legalized before travel?
It depends on the document and the institution receiving it. Confirm the requirement before paying for legalization or translation because different steps can apply to the company registry, bank and sector regulator.
What if the shareholder is a foreign company?
Expect a wider file covering the foreign entity's registration, constitutional documents, authorization to invest, directors, shareholders and ultimate beneficial owners.
Can the bank use the same documents as the CFE?
Some documents overlap, but bank KYC is independent. Banks often request additional evidence on source of funds, business activity and expected transactions.
What causes the most avoidable delays?
Inconsistent names, expired documents, unclear signing powers, incomplete beneficial-owner information and an activity description that does not match the intended business.
